1. Our Contract

These terms & conditions ("Website Terms") apply to your use of the FPE Seals Ltd website at www.fpeseals.co.uk (the "Website", which term shall include all content on the Website). You must read these Website Terms carefully, and we recommend that you print and keep a copy for your future reference. By accessing, browsing, using or registering with the Website, you confirm that you have read, understood and agree to these Website Terms in their entirety. If you do not agree to these Website Terms in their entirety, you must not use the Website.

2. Privacy & Cookies Policy

2.1 These Website Terms supplement (and are in addition to) the terms of our Privacy Policy and Cookies Policy. Our Privacy Policy explains what personal information we collect about you when you use the Website and our Cookies Policy deals with the use of cookies on the Website. 4. Your use of the Website

4.1 You must only use this Website for lawful purposes, and you must not use it in a way that infringes the rights of anyone else or that restricts or inhibits anyone else´s enjoyment of the Website.

4.2 You may use, download and display the contents of this Website on a computer screen and also print one copy of such content, but solely for your own personal use or internal business purposes. Other than for your own personal use or internal business purposes, you may not without our prior written consent:

  • copy, reproduce, use or otherwise deal with any content on the Website;
  • modify, distribute or re-post any content on the Website for any purpose;
  • reproduce, crawl, frame, link to or deep-link into this Website on or from any other website or application/app or any other device connected to the Internet;

5. Use of this Website from outside the UK

Except where otherwise specified on this Website, the materials on this Website are displayed solely for the purposes of promoting FPE Seals’ products and services available in the UK. Those who choose to access this Website from locations outside the UK are responsible for compliance with local laws if and to the extent local laws are applicable.

6. Ownership of rights

6.1 The content of the Website is protected by copyright, trade marks, database and other intellectual property rights. All rights, including copyright and other intellectual property rights, in and to this Website are owned by or licensed to FPE Seals.

6.2 If you acquire any copyright or other intellectual property rights in the Website (whether by operation of law or otherwise), then you agree to assign (on a worldwide basis to the fullest extent permitted by law) those rights to FPE Seals Ltd (including any rights you may have in user generated content that you submit through the Website). You will also unconditionally and irrevocably waive any and all moral rights you acquire in or to the Website.

6.3 You further agree to execute all such documents and do all such acts and things as we may reasonably require in order to assign any such rights to us and to waive any moral rights you acquire in or to the Website.

7. Password/account security

You are responsible for maintaining the confidentiality of your password and account and any activities that occur under your account. We will not be liable for any loss or damage which may arise as a result of any failure by you to protect your password or account.

8. Availability of the Website

8.1 We can make no promise that the services at the Website will be consistently fault free. If a fault occurs in the service please report it to our Customer Services team websupport@fpeseals.co.uk. We will attempt to correct the fault as soon as we reasonably can.

8.2 Access to the Website may occasionally be restricted or limited to allow for repairs, upgrades or general maintenance. We will endeavour to restore access as soon as we can.

9. Damage to your computer or other device

9.1 FPE Seals uses reasonable efforts to ensure that this Website is free from viruses and other malicious or harmful content. However, we cannot guarantee that your use of this Website (including any content on it or any website accessible from it) will not cause damage to your computer or other device.

9.2 It is your responsibility to ensure that you have the right equipment and software (including antivirus software) to use the Website safely and to screen out anything that may damage or harm your computer or other device.

9.3 We shall not be liable to any person for any loss or damage they suffer as a result of viruses or other malicious or harmful content that they access from or via the Website.

9.4 We have placed links on this Website to other websites we think you may want to visit. We do not vet these websites and do not have any control over their contents. We do not accept any liability in respect of the use of these websites.

10. Accuracy of content

10.1 FPE Seals disclaims all representations and warranties, express or implied, that content or information displayed in or on this Website is accurate, complete, up-to-date and/or does not infringe the rights of any third party (to the extent permitted by applicable law).

10.2 The views expressed in user generated content are the opinions of those users and do not necessarily represent the views, opinions, beliefs or values of FPE Seals or any of its group companies.

11. Our liability

11.1 The Website is provided by us for your use without any warranties or guarantees. You must bear the risks associated with the use of the Internet.

11.2 We shall not be responsible for any breach of these Website Terms caused by circumstances beyond our control.

11.3 We exclude all representations, warranties, conditions and terms (whether express or implied by statute, common law or otherwise) to the fullest extent permitted by law. We accept no liability for any losses or damages which are not reasonably foreseeable arising out of or in connection with these Website Terms or your use of the Website.

11.4 Except to the extent required by applicable law, we shall not be liable to any person for any loss or damage which may arise from the use of or reliance on any content or information displayed in or on this Website.

11.5 These Website Terms shall not limit or exclude any liability that we are not permitted to limit or exclude under applicable law (such as death or personal injury).

12. Indemnity

You will indemnify us against all losses, liabilities, costs and expenses reasonably suffered or incurred by us, all damages awarded against us under any judgment by a court of competent jurisdiction and any sums paid by us as a result of any settlement agreed by us arising out or in connection with:

  • any claim by any third party that the use of the Website by you is defamatory, offensive, bullying or abusive, or of an obscene or pornographic nature, or is illegal or constitutes a breach of any applicable law, regulation or code of practice;
  • any claim by any third party that the use of the Website by you infringes that third party’s copyright or other intellectual property rights of whatever nature; and
  • any fines or penalties imposed by any regulatory, advertising or trading body or authority in connection with the use of the Website by you.

13. Entire Agreement

These Website Terms (including our Privacy Policy, Cookies Policy and Terms & Conditions of sale) set out the entire agreement between you and us and supersede any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law.

We reserve the right to change and update these Website Terms from time to time. We recommend that you revisit this page regularly to keep informed of the current Website Terms. By continuing to access, browse and use this Website, you will be deemed to have agreed to any changes or updates to our Website Terms.

15. Applicable Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and any disputes will be decided only by the English courts.

16. Miscellaneous

16.1 If any provision of these Website Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Website Terms, which shall remain in full force and effect.

16.2 A person who is not a party to these Website Terms shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any term of these Website Terms but this shall not affect any right or remedy of a third party which exists or is available apart from that Act.

16.3 The Website is owned and operated by FPE Seals Limited (Company Number 3725829) a company registered in England and Wales whose registered office is at 12 Charterhouse Square, London, EC1M 6AX.


Terms & Conditions of Sale


PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. WE DRAW YOUR ATTENTION TO YOUR RIGHTS OF RETURN AND CANCELLATION IN CLAUSE 13 AND THE LIMITS TO OUR LIABILITY IN CLAUSE 14.

1: Our Contract

  1. These Terms & Conditions of Sale govern the supply of goods sold by FPE Seals Limited (co. number 3725829) registered at 12 Charterhouse Square, London, EC1M 6AX (we and us) to the customer (you).
  2. All quotations are given and all orders are accepted by FPE Seals Limited  ("FPE Seals") subject to these Terms & Conditions of Sale (Terms) and all orders hereafter placed by the Customer shall be subject to these Terms and which together with the terms agreed by FPE Seals by telephone with or confirmed by FPE Seals by fax, email, via our website or by such means as we may permit to the Customer constitute the entire agreement between the parties relating to its subject matter and (except to the extent repeated in these Terms) supersede and extinguish any prior agreement, understanding or representation (excluding a fraudulent representation), any terms, descriptions or illustrations contained in FPE Seals brochure, catalogues, websites, price lists or elsewhere and any terms stipulated or referred to by the Customer and any course of dealing established between the parties.
  3. The processing of your payment and acknowledgment of your order (including sending you an email confirming your order is being processed) does not constitute legal acceptance of your order.

2: Quotation

A quotation shall be deemed withdrawn 28 days after its date unless the parties enter into a contract for the sale and purchase of the relevant products. FPE Seals may correct any clerical errors made in quotations or estimates given.

3. Ordering

3.1 On our website, you may place an order to purchase a product advertised for sale by following the onscreen prompts after clicking on the item you wish to purchase. You will have an opportunity to check and correct any input errors in your order up until the point at which you place your order by clicking the "Confirm and pay" button on the checkout page.

3.2 All orders placed by you and purchases of goods by you from us, are subject to acceptance by us (as described in clause 1.2). We may choose not to accept your order or purchase for any reason and will not be liable to you or to anyone else in those circumstances.

3.3 Where we accept your order, we have a legal duty to supply goods that are in conformity with these Terms and Conditions.

4. Prices

Unless otherwise stated, the price is ex-works and (except where the Customer collects the products) a despatch charge will be made. All sums payable by the Customer are exclusive of VAT and FPE Seals also reserves the right to charge for any special tooling used to produce any of the products (quoted separately).

5. Payment

FPE Seals invoices are payable in full by the end of the month after the month of invoice for a 30 day account and if the Customer fails to make payment in full of what is due from it to FPE Seals under any other contract entered into with FPE Seals within seven days of the due date for payment FPE Seals shall not be bound to give up possession of the products and/or (without incurring any liability therefore) may suspend performance of any other of its then outstanding contractual obligations to the Customer until it receives payment in full.

6. Availability

All goods are subject to availability. While we endeavour to hold sufficient stock to meet all orders and purchases, if we have insufficient stock to supply or deliver the goods ordered and paid for by you, we will attempt to contact you using the details you have provided to us to ask you how you wish to proceed. We may, at our discretion, process any part of the order which is available. Where goods are out of stock, we will refund you the price paid for such goods as soon as possible and in any case within 14 days or, in the case of an account customer, we may, in our absolute discretion, as soon as possible raise a credit to offset the amount invoiced to you.

7. Despatch Date and Quantity

The date for despatch or collection of the products is an estimate only and time shall not be of the essence. If FPE Seals is late in despatch or having ready for collection any of the products the Customer may by notice, therefore, cancel the order in respect of those products but FPE Seals shall in no circumstances be liable to compensate the Customer in damages or otherwise for non or late despatch or readiness for collection of any of the products for whatever reason. FPE Seals also reserves the right to deliver plus or minus 10 percent of the order quantity.

8. Collection

Where the Customer is responsible for collecting the products it shall do so from the works of FPE Seals within seven days of receipt of notice from FPE Seals that they are ready for collection.

9. Risk

Risk of loss of or damage to the products shall pass to the Customer on (as the case may be) despatch or FPE Seals notifying the Customer that the products are ready for collection.

10. Title

Until payment in full has been received by FPE Seals for the products and for all other products previously supplied by FPE Seals to the Customer, FPE Seals shall remain the sole and absolute legal and beneficial owner of the products and the Customer shall hold them in law and in equity as agent and bailee for FPE Seal. Without prejudice to any other right or remedy of FPE Seal, if the Customer defaults in the punctual payment of any sum owing to FPE Seals (whether hereunder or under any other contract entered into with FPE Seal) then FPE Seals shall be entitled to the immediate return of the products and all other products supplied by FPE Seal, in each case where the property thereto has not passed to the Customer, and the Customer authorises FPE Seal, its employees or agents to recover such products and to enter the works of the Customer for that purpose.

11. Inspection on Receipt

The Customer shall inspect the products immediately on taking possession of them and may within seven days from doing so give notice and provide evidence satisfactory to FPE Seals of any matter or thing by reason whereof the Customer alleges that the products are not in accordance with the order. In the case of shortages of delivery, FPE Seals may at its absolute discretion make a further delivery to make up for such shortages or give the Customer a credit note in respect thereof.

12. Warranty

12.1 FPE Seals warrants that the products will comply with any description given to them and shall remedy any breach of such warranty by replacing the relevant products as soon as reasonably possible after being given notice of such breach by the Customer under paragraph 11 above. FPE Seals also shall (subject to receipt of the Customer's request therefor) use all reasonable endeavours to procure for the Customer the benefit of any written warranties (including any certificate of conformity) given to it in relation to the products.

12.2 SUBJECT TO PARAGRAPH 12.1 AND TO THE FULLEST EXTENT PERMITTED BY LAW, ALL WARRANTIES, REPRESENTATIONS, TERMS AND UNDERTAKINGS, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, WHETHER AS TO FITNESS FOR PURPOSE, BEING OF SATISFACTORY QUALITY, COMPLIANCE WITH SAMPLE, SUITABILITY OF PACKAGING OR OTHERWISE HOWSOEVER IN RESPECT OF THE PRODUCTS ARE HEREBY EXCLUDED.

13. Cancellation, Returns & Refunds

13.1 You may cancel your order and return the items purchased to us by giving us notice of cancellation within 7 days of the date of delivery to you or your collection from a trade counter (as applicable). In relation to goods delivered to you, you may need to take delivery of the goods before you can cancel your order if the goods are placed into our delivery process before we receive your notice of cancellation. Where your order comprises multiple delivery shipments, the 7 day cancellation period for the goods in your order runs from the date of the delivery of the last shipment to you.

13.2 You will lose your right to cancel after the expiry of the 7 day period referred to in clause 13.1 (this does not affect your rights if there is any problem with the goods).

13.3 To exercise your right to cancel, you may inform us of your decision to cancel by post, phone or email using the contact details set out below at clause 18. You may also cancel by informing us in person at a branch. If you are cancelling because of any problem with the goods, please notify us of the problem at the time of cancellation.

13.4 On cancellation for whatever reason, where you have received the goods you must return the goods to us (together with the original packaging) without undue delay and in any event within 7 days after the day of the cancellation at your cost (subject to clause 13.11), unless we agree that you may dispose of them, in which case please comply with the manufacturer's instructions before disposing of hazardous goods. You can return certain goods by post from your local Post Office and larger goods by our carrier pick up service. We may charge a fee for the carrier pick up service; the amount of the fee will depend on the good(s) returned, but the maximum fee is £50.

13.5 Following cancellation, subject to clause 13.7, we will refund you the price paid for the cancelled order (or part of the order cancelled). Where you cancel the entire order, we will also refund the standard delivery charges (or an amount equal to the standard delivery charges if you elect to use a more expensive delivery method) paid. Where you cancel part of an order, we will not refund the delivery charges. We will pay the refund within 14 days after the day:

13.5.1 you notified us to cancel your order, where you have not received the goods; or,

13.5.2 we receive the goods you returned to us, where you are in receipt of the goods; or

13.5.3 you provide us with a proof of return for the goods, where you have returned the goods but we have not yet received them.

13.6 We will refund you using the same means of payment as you used to pay for your order or purchase.

13.7 We reserve the right to make a deduction from the amount of the refund for loss in value of the goods returned where the goods show signs of unreasonable use; for these purposes, unreasonable use includes handling the goods beyond what is necessary to establish the nature, characteristics and functioning of the goods. We may withhold any refund until we have received the goods or you have supplied proof of return for the goods

13.8 Your right of cancellation does not apply to goods that are made to measure, made to order, or made to your specifications.

Faulty Goods 
13.09 Where the goods are being returned because they are faulty or incorrect, we will meet the cost of return delivery but we ask that you allow us to nominate the carrier. Your right to return goods in these circumstances is not limited to the 7 day period in clause 13.1.

13.10 Without prejudice to your right to cancel orders generally under this clause 13, if you have notified us of a problem with the goods within 7 days of delivery or collection, you have a right to reject the goods and receive a full refund, or alternatively we are happy to provide a replacement.

14. Liability

This paragraph 14 sets out FPE Seals entire liability (including liability for the acts and omissions of its employees, agents and subcontractors) to the Customer in respect of any breach of its obligations under or in connection with the order or any representation (unless fraudulent) statement, act or omission (including without limitation negligence) of FPE Seals arising under or in connection with the order (together an "Event of Default"). FPE Seals liability to the Customer for death or personal injury resulting from its own or that of its employees,' agents' or subcontractors' negligence shall not be limited. Subject to this, FPE Seals entire liability in respect of any other Event of Default shall be limited to the price of the products which are the subject of the Event of Default and FPE Seals shall not be liable for loss of profits, goodwill or any type of special, indirect or consequential loss.

15. Late Payment

Any sum payable by the Customer which is not paid on the due date shall bear interest (as well before as after any judgement therefor) at the rate of two percent per annum above the base rate from time to time of Barclays Bank PLC for the period from and excluding such date up to and including the date of payment in full.

16. Rights and Benefits

The Customer may not assign (either at law or in equity) any right or benefit under the order. There shall be no waiver of any term of the order by FPE Seals unless such waiver is evidenced in writing and signed by it.

17. General Provisions

17.1 If at any time any one or more of the provisions hereof is or becomes invalid, illegal or unenforceable in any respect under any law the validity, legality and enforceability of the remaining provisions shall not be in any way affected or impaired thereby.

17.2 The order shall be governed by and construed in accordance with English Law to whose nonexclusive jurisdiction the parties hereby submit.

17.3 Notwithstanding any other provision hereof, nothing herein contained shall or shall be deemed either to affect the statutory rights of a consumer pursuant to a consumer transaction or to exclude or restrict any liability which FPE Seals may have by virtue of the Consumer Protection Act 1987.

20. Alternative dispute resolution

20.1 Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. The European Union has set up an Online Dispute Resolution (ODR) platform. If you are not happy with how we have handled a complaint about your transaction, disputes may be submitted for online resolution to the ODR Platform at www.ec.europa.eu/odr.
